Numeriks 'Refer a Friend' Program

Numerik’s Refer a Friend Program helps you get rewards for spreading the word about our sales performance app. These Terms and Conditions apply to your involvement in the Program. If you do not agree to these Terms and Conditions, you are not eligible to participate in the Program.

1. Definitions: When we use the following terms, they have the stated meaning:
   1. Program = the Numerik Refer a Friend Program that is governed by these Terms and Conditions
   2. Referrer= the person who introduces Numerik to another person who meets the criteria to be a Referee and who meets the criteria in section 3
   3. Referee= the person who is introduced to Numerik by the Referrer and who meets the criteria in section 2
   4. We/Our= Numerik Limited
2. Referee Criteria: A Referee must meet all of the following criteria (as determined by Numerik):
   1. has over 5 sales representatives who work to grow sales from its existing customers
   2. its customers are managed by sales representatives
   3. it sells multiple products/product groups (excludes companies that provide services only)
   4. its business model is supported by repeat business from its existing customers
   5. it does not have an existing or prior relationship with Numerik (e.g. previously used, or currently uses, the app, or has been previously introduced by the Referrer or another referrer)
   6. it agrees to the application of these Terms and Conditions and to the Referrer supplying information to Numerik that is reasonably required by Numerik to confirm the Referee meets these criteria and to convert the introduction into a sale.
3. Referrer Criteria: A Referrer must meet all of the following criteria (as determined by Numerik):
   1. is a registered user of Numerik
   2. it agrees to the application of these Terms and Conditions
4. Rewards:
   1. A Referrer will receive the following rewards:
      1. where the Referee has completed a 60 minute Numerik Demonstration and Discovery meeting within 30 days of the Referrer making the introduction, either (at the option of the Referrer) an Amazon gift card valued at USD$100.00, or, if referring on behalf of their company, a USD$100.00 credit on their next Numerik invoice; and
      2. where the Referee signs a minimum 1 year written contract with Numerik to use the app within 90 days of the Referrer making the introduction, either (at the option of the Referrer) a USD$1,500.00 Amazon gift card, or, if referring on behalf of their company, 1 month of Numerik for free on their next invoice.
   2. A Referee will receive the following rewards:
      1. where the Referee has completed a 60 minute Numerik Demonstration and Discovery meeting within 30 days of the Referrer making the introduction, an Amazon gift card valued at USD$100.00; and
      2. where the Referee signs a minimum 1 year written contract with Numerik to use the app within 90 days of the Referrer making the introduction,the first 30 days of use of the app is free. If either party terminates the Numerik contract before the minimum 1 year has elapsed, the Referee will be required to repay the 30 days of free Numerik use.
5. Exclusions:
   1. The Numerik Engage product is excluded from eligibility for this program.
6. Contact:
   1. Rewards will be sent only to a valid business email address associated with the introduction.
   2. The Referrer agrees that Numerik may name it in any communication between Numerik, the Referee, and/or the Referee’s company.
7. General Terms: The following terms apply to the Program and prevail in the event of any inconsistency.
   1. The Program does not apply to any referral or introduction made prior to the Program’s launch.
   2. Numerik will make the final call over Referee eligibility, based on the Referee Criteria.
   3. If two or more Referrers introduce the same Referee, the Referrer who first made the introduction is the only person eligible for the rewards. If there is a dispute over who first made the introduction, Numerik will decide who was the first introducer and our decision is final.
   4. From time to time and without notice, Numerik may change the Terms and Conditions. Changes to the Terms and Conditions apply from the date they are published on the website. The Program’s Terms and Conditions can be found on the ‘Refer a friend’ webpage, under ‘T&Cs.’
   5. Numerik may immediately and without notice terminate a person’s involvement in the Program if we suspect that person has breached these Terms and Conditions and/or the Program has been abused (as determined by Numerik).
   6. Referrers and Referees are responsible for ensuring their participation in the Program complies with laws applicable to them.
   7. The Program and these Terms and Conditions are subject to New Zealand law. Numerik, Referrers and Referees submit to the non-exclusive courts of New Zealand in relation to any dispute under or in connection with these Terms and Conditions.
